The model contract has no exhibit that names the PBM owners, affiliates, GPOs, rebate aggregators and owned pharmacies. Nautilus scored conflict of interest 70 of 100 for that omission.\n- DATA, plan sponsor owns all plan data (weight 4). Sole ownership of claims, eligibility, accumulator, rebate and derived data, delivered in machine readable form, with no reuse or sale by the PBM.\n- LNC, lowest net cost standard and book of business comparison (weight 3). A stated lowest net cost standard for formulary decisions and an annual comparison against the PBM whole book of business.\n\nTwo further additions split out protections that version 1 folded into broader items:\n\n- CASH, cash price protection and deductible credit (weight 3). Members never pay more than the cash price, every cash purchase counts toward the deductible and out of pocket maximum, and accumulator adjustments require a sponsor election. Section 3.4 moves here from CEIL, which now covers only the Section 3.3 benchmark ceiling.\n- ENF, self executing enforcement and two strikes exit (weight 3). Liquidated damages or automatic credits for missed guarantees and late reports, and termination without penalty after a second material or regulatory integrity failure.\n\nTo make room, existing weights were rebalanced: FID 8 to 7, DISC 8 to 6, PASS 12 to 11, NAC 6 to 5, CEIL 4 to 3, MAC 6 to 5, SPRD 10 to 9, GPO 5 to 4, FORM 5 to 4, NET 8 to 7, MFN 4 to 3, AUD 7 to 6, PERF 3 to 2, AMD 3 to 2, SPEC 4 to 3. DEF and TERM are unchanged. GAG stays at weight 0.\n\nScores computed under version 1 remain current and are labelled with their version until the council re-reads the contract under version 2. Except to the extent this Agreement specifically requires United to \nhave the fiduciary responsibility for a Plan administrative function, Customer accepts total responsibility for the Plan \nfor purposes of this Agreement, including its benefit design, the legal sufficiency and distribution of SPDs, and \ncompliance with any laws that apply to Customer or the Plan, whether or not Customer or someone Customer \ndesignates is the Plan Administrator. The Customer represents and warrants that the Plan has the authority to pay fees \ndue under this Agreement from Plan assets. \nSection 2.2 Plan Consistent with the Agreement. Customer represents that Plan documents, including the Summary \nPlan Description as described in Exhibit A – Statement of Work, are consistent with this Agreement. Nevertheless, \nbefore distributing any communications describing Plan benefits or provisions to Participants or third parties, \nCustomer will provide United with such communications which refer to United or United’s services. Customer will \namend them if United reasonably determines that references to United are not accurate, or any Plan provision is not \nconsistent with this Agreement or the services that United is providing. \nSection 2.3 Plan Changes. Customer must provide United with notice of any changes to the Plan and/or Summary \nPlan Description within sixty (60) days prior to the effective date of the change to allow United to determine if such \nchange will alter the services United provides under this Agreement. Customer’s requested changes must be mutually \nagreed to in writing prior to implementation of such change. \nUnited will notify Customer if (i) the change increases United’s cost of providing services under this Agreement, or \n(ii) United is reasonably unable to implement or administer the change. If the parties cannot agree to a new fee within \n(30) thirty days of the notice of the new fee, or if United notifies Customer under Section 2.3(ii) that United is unable \nto reasonably implement or administer the change, then (a) United shall have no obligation to implement or administer \nthe change, and (b) Customer may terminate this Agreement upon (30) thirty days written notice. \nSection 2.4 Affiliated Employers. Customer represents that together Customer and any of its affiliates covered under \nthe Plan make up a single “controlled group” as defined by the IRC. Customer agrees to provide United with a list of \nCustomer affiliates covered under the Plan upon request. \nSection 2.5 Information Customer Provides to United. Customer will tell United which of Customer’s Employees, \ntheir dependents, Retirees, their dependents, any other persons, or any combination of these, are Participants. This \ninformation must be accurate and provided to United in a timely manner. United will accept eligibility data from \nCustomer in the format described in Exhibit A - Statement of Work. Customer will notify United of any change to \nthis information as soon as reasonably possible. \nUnited will be entitled to rely on the most current information in United’s possession regarding eligibility of \nParticipants in paying Plan benefits and providing other services under this Agreement. Parties will mutually agree \nupon the processing or reprocessing of claims and any additional fees that may apply. \n","text_status":"available","offset":0,"next_offset":null,"total_chars":4594,"page_text_sha256":"d21d844af145f37e753677ab5916c5a8b9b87aa53da770c6f8af9f44362ea201","excerpt_sha256":"d21d844af145f37e753677ab5916c5a8b9b87aa53da770c6f8af9f44362ea201","hash_scope":"utf8-extracted-page-text","offset_unit":"utf16-code-unit","interpretation_verified":false},{"contract_id":"466b9816-0f46-5e2f-919c-72c17be165d8","document_id":"4894284f-d81d-5f23-bb87-b6838889dee5","page":4,"redaction":"none","source_url":"https://legistar.granicus.com/RoundRock/attachments/f6e9f238-a305-4ed2-9ea0-784839b3352c.pdf","public_url":"https://legistar.granicus.com/RoundRock/attachments/f6e9f238-a305-4ed2-9ea0-784839b3352c.pdf","text":" \n \n \nCustomer agrees to provide United, in a timely manner with all information that United reasonably requires to provide \nservices under this Agreement. Customer will give Participants the information and documents they need to \nobtain benefits under the Plan within a reasonable period of time before coverage begins. In the event this Agreement \nis discontinued, Customer will notify all Participants that the services United is providing under this Agreement are \ndiscontinued. \nSection 2.7 Escheat. Customer is solely responsible for complying with all applicable abandoned property or escheat \nlaws, making any required payments, and filing any required reports. \nSection 3 – Fees \nSection 3.1 Fees. Customer will pay fees to United as compensation for the services provided by United. In addition \nto the fees specified in Exhibit B – Fees, Customer must also pay United any additional fee that is authorized by a \nprovision elsewhere in this Agreement or is otherwise agreed to by the parties. \nSection 3.2 Changes in Fees. (a) United can change the fees on each Renewal Term, subject to the provisions of \nExhibit B – Fees. United will provide Customer with thirty (30) days prior written notice of the revised fees for \nsubsequent Renewal Terms. Any such fee change will become effective on the later of the first day of the new Renewal \nTerm or thirty (30) days after United provides Customer with written notice of the new fees. United will provide \nCustomer with a new Exhibit B – Fees that will replace the existing Exhibit B – Fees for the new Renewal Term. \n(b) United may also change the fees with thirty (30) days prior written notice, if any one or more of the following \noccur: \n(1) \nany time there are changes made to this Agreement or the Plan, which affect the fees; \n(2) \nwhen there are changes in laws or regulations which affect or are related to the services United is providing, \nor will be required to provide, under this Agreement, including the Taxes and fees noted in Section 5, Taxes And \nAssessments; \n(3) \nif the number of Employees covered by the Plan or any Plan option changes by fifteen percent (15%) or \nmore; or \n(4) \nif the average contract size, defined as the total number of enrolled Participants divided by the total number \nof enrolled Employees, varies by fifteen percent (15%) or more from the assumed average contract size Any \nnew fee required by such change will be effective as of the date the changes occur, even if that date is retroactive. \n(c) \nIf Customer does not agree to any change in fees, Customer may terminate this Agreement upon thirty (30) days \nwritten notice after Customer receives written notice of the new fees. Customer must still pay any amounts due for \nthe periods during which the Agreement is in effect. \nSection 3.3 Due Dates, Payments, and Penalties. For the Standard Medical Service Fees described in Exhibit B – \nFees, United will provide Customer with an on-line invoice in advance of the first of each month, typically no later \nthan the 18th of each month. The due date for payment of the invoiced amounts is on the first day of the next full \ncalendar month (“Due Date”). Such invoices are provided on an eligibility-based format, and therefore payment must \nbe made as billed (no adjustments are allowed to the invoice). If authorized by Customer pursuant to this Agreement \nor by subsequent authorization, certain fees will be paid through a withdrawal from the Bank Account or other upon \nmutual agreement means. \nLate Payment. If amounts owed are not paid within fifteen (15) days after their Due Date (“Grace Period”), Customer \nwill pay United interest on these amounts at the interest rate identified in the Fee Exhibit. Customer agrees to reimburse \nUnited for any costs that United incurs to collect these amounts. United’s decision to provide Customer with a Grace \nPeriod will be based on United’s assessment of Customer’s financial condition as of the Effective Date, and \nCustomer’s compliance with material financial obligations. If United determines, based on reasonable information \nand belief, that Customer’s financial condition has deteriorated, or Customer continues to fail to comply with the \nmaterial financial obligations specified in this Agreement, United may remove the Grace Period upon notice to \nCustomer and reserves the right to either charge interest on payments not received after the Due Date or terminate the \nAgreement if payments are not received by the Due Date. \n","text_status":"available","offset":0,"next_offset":null,"total_chars":4692,"page_text_sha256":"8f31acd1a897f670b6cdfe68c38291e911552ff9d77cefc29503b99d9b88264f","excerpt_sha256":"8f31acd1a897f670b6cdfe68c38291e911552ff9d77cefc29503b99d9b88264f","hash_scope":"utf8-extracted-page-text","offset_unit":"utf16-code-unit","interpretation_verified":false},{"contract_id":"466b9816-0f46-5e2f-919c-72c17be165d8","document_id":"4894284f-d81d-5f23-bb87-b6838889dee5","page":5,"redaction":"none","source_url":"https://legistar.granicus.com/RoundRock/attachments/f6e9f238-a305-4ed2-9ea0-784839b3352c.pdf","public_url":"https://legistar.granicus.com/RoundRock/attachments/f6e9f238-a305-4ed2-9ea0-784839b3352c.pdf","text":" \n \n \nSection 3.4 Reconciliation.
