The model contract has no exhibit that names the PBM owners, affiliates, GPOs, rebate aggregators and owned pharmacies. Nautilus scored conflict of interest 70 of 100 for that omission.\n- DATA, plan sponsor owns all plan data (weight 4). Sole ownership of claims, eligibility, accumulator, rebate and derived data, delivered in machine readable form, with no reuse or sale by the PBM.\n- LNC, lowest net cost standard and book of business comparison (weight 3). A stated lowest net cost standard for formulary decisions and an annual comparison against the PBM whole book of business.\n\nTwo further additions split out protections that version 1 folded into broader items:\n\n- CASH, cash price protection and deductible credit (weight 3). Members never pay more than the cash price, every cash purchase counts toward the deductible and out of pocket maximum, and accumulator adjustments require a sponsor election. Section 3.4 moves here from CEIL, which now covers only the Section 3.3 benchmark ceiling.\n- ENF, self executing enforcement and two strikes exit (weight 3). Liquidated damages or automatic credits for missed guarantees and late reports, and termination without penalty after a second material or regulatory integrity failure.\n\nTo make room, existing weights were rebalanced: FID 8 to 7, DISC 8 to 6, PASS 12 to 11, NAC 6 to 5, CEIL 4 to 3, MAC 6 to 5, SPRD 10 to 9, GPO 5 to 4, FORM 5 to 4, NET 8 to 7, MFN 4 to 3, AUD 7 to 6, PERF 3 to 2, AMD 3 to 2, SPEC 4 to 3. DEF and TERM are unchanged. GAG stays at weight 0.\n\nScores computed under version 1 remain current and are labelled with their version until the council re-reads the contract under version 2. Background\n1.1\nThe Employees Retirement System of Texas (³ERS´) is a trust fund established by the Texas \nConstitution and is described in Article XVI, Section 67, Texas Constitution. ERS is also organized \npursuant to Subtitle B, Title 8, Texas Government Code, as well as 34 Texas Administrative Code, \nSections 61.1, et seq. ERS administers defined benefit pension plans for State employees, law \nenforcement and custodial officers, elected State officials and judges. ERS invests State and \nmember contributions in the retirement trust funds and administers the trust funds with a fiduciary \nobligation to the members and retirees of ERS who are its beneficiaries. ERS also administers the \nTexas Employees Group Benefits Program, which consists of health benefits, life insurance and \nother optional benefits to participating individuals eligible to receive those benefits under applicable \nlaw. The Board of Trustees for ERS (the ³Board´) is the trustee for trust funds maintained and \nadministered by ERS.\n1.2\nOn May 25, 2022, ERS issued a Request for Proposal (entitled Pharmacy Benefits Management \nServices for the HealthSelect of Texas Prescription Drug Programs and the HealthSelect Medicare \nRx Prescription Drug Program, RFP No. 21-11565-001) (the ³RFP´), which is attached hereto as \nExhibit A and is incorporated herein for all purposes as if restated in full.\n1.3\nExpress Scripts, Inc. (³PBM´) submitted a proposal (the ³Proposal´) in response to the RFP \nseeking to provide those services, benefits and/or products for or on behalf of ERS as described in \nthe RFP (the ³Services´). The Proposal shall remain on file with ERS and is attached hereto as \nExhibit B and is incorporated herein by reference for all purposes as if restated in full, except to the \nextent it conflicts or is inconsistent with this Contractual Agreement (the ³Contract,´ as more fully \ndefined in Article 34 herein) or the RFP and ERS has not accepted such conflicting terms or \ninconsistent provisions in accordance with the clarifications referenced and defined below.\n1.4\nAs used herein, PBM shall mean and necessarily include the business entity selected by ERS to \nprovide the Services pursuant to the Contract, and also includes PBM¶s Agents (as defined below) \ninvolved in performing, delivering or providing any representations, warranties, services, \ncoverages, equipment, or products relating to the Contract or the Services. The term ³Agent´ shall \nmean subsidiaries, joint venturers, representatives, officers, directors, principals, partners, \nemployees, agents, assigns, any subcontractors and independent contractors, and any person or \nentity authorized by PBM to advise, consult or communicate with Public Servants on behalf of or to \nthe benefit of PBM (whether or not PBM sought the benefit). References hereafter in the Contract \nlisting Agent, Agents and/or any of the above specific entities, in addition to PBM, are for emphasis \nonly and are not intended to limit the scope of the foregoing definition of PBM.\n1.5\nPrior to its selection by ERS, in addition to PBM submitting its Proposal and Clarifications, if any, \nPBM participated in extensive interviews and meetings with and made representations to ERS¶ \nstaff and representatives regarding its ability to provide the Services to aid ERS in determining \nwhich entity seeking to provide the Services for ERS would be most capable of delivering the \nServices at the best value to ERS (³RFP/Proposal Process´). To the extent that Clarifications are \nmade a part of this Contract, they are attached hereto and incorporated herein as Exhibit C.\n1.6\nFor and in consideration of the mutual promises, covenants, and consideration herein expressed, \nthe receipt and sufficiency of which is hereby acknowledged, the Contract is entered into by and \nbetween PBM and ERS to be effective as of the date set forth herein. \nArticle 2. Contract Term, Renewal, Amendment and Termination\n2.1\nThe Contract and all aspects of the Contract will be for a term beginning as of the date executed \nby an authorized representative of ERS as set forth on the signature page hereto (³Effective Date´)\nand extending through December 31, 2029 (the ³Contract Term´) unless terminated as provided \nherein or further extended or renewed by written agreement of the parties.
