Fort Worth: the executed Rightway agreement behind M&C 25-0845
What this document is
The City Secretary's office publishes the fully executed 86-page Vendor Services Agreement with Rightway Healthcare, Inc. as City Secretary Contract No. 65079, signed through Docusign envelope ADE00953-6C1D-4915-A9C6-D027F7115941 (City Secretary document viewer). The catalogue previously held only the two-page council communication M&C 25-0845; this record adds the signed agreement itself, including Exhibit B and Attachments B-1 and B-2. The signature page was inspected as a rendered image and not only through the text layer: all six blocks carry visible signatures, including the Assistant City Manager for the City and the Chief Executive Officer for Rightway, while the typed name lines are left blank in the posted scan (viewer, physical page 13).
What it does tell us
The agreement "begins on January 1, 2026 (\"Effective Date\"), and will continue in full force and effect for period of three (3) years", with up to two one-year renewal options exercisable by the City on ninety days' notice (physical page 1). Total compensation "during the Initial Term will not exceed the maximum of Fees of $2,032,160.00", excluding claim amounts and taxes (physical page 2). The City may terminate at any time on 90 days' written notice without penalty; the vendor needs 180 days (physical page 2). Audit rights cover transactions in the three years immediately preceding, with notice copied to [email protected] (physical page 4). Attachment B-1 sets core administrative fees of $4.95, $5.05 and $5.15 per member per month across the three contract years and itemises ancillary charges such as $3.00 per direct reimbursement claim, $135 per medical necessity review and $600.00 per hour for judicial-level appeal support (physical pages 41-47). Attachment B-2 states a full pass-through model in which "100% of the Participating Pharmacy negotiated pricing will be passed through to Client" and Client "will receive 100% of the Rebates earned and collected on a pass-through basis" (physical pages 49, 51). Minimum rebate guarantees per net paid brand claim are $505.00 / $525.00 / $546.00 retail 30, $1,050.00 / $1,092.00 / $1,136.00 retail 90 and mail, and $4,000.00 / $4,160.00 / $4,326.00 specialty across years one to three (physical page 51). Pricing assumes "an effective date of January 1, 2026, and an estimated 11,178 total Eligible Persons", and the year-one PMPM target is 141.79 built from gross cost 230.59 less rebates 73.26 and clinical savings 15.54, with years two and three trending at plus 8% (physical pages 52-53). Performance guarantees place $20 per eligible person at risk for implementation and $20 per year for ongoing standards (physical page 34). The City Secretary routing slip records Effective Date 01/01/2026 and Expiration Date 12/31/2028 (viewer, physical page 86).
These figures carry a qualification that must be read with them. Attachment B-2 provides that "[i]n the event the PMPM Target for any applicable year is achieved, then the AWP Discount Guarantees, Dispensing Fee Guarantees, and Minimum Rebate Guarantees set forth in Sections A and B above shall not apply", and only otherwise does Rightway reconcile those guarantees (viewer, physical page 52). The target is evaluated only as a net figure, since "[t]he individual components of the PMPM Target are not evaluated as components", and it excludes vaccines, Covid test kits and antivirals, weight loss drugs, products on the Rare High-Cost Drug List in Schedule B-2, fertility claims absent from the underwriting data, client-directed overrides, claims previously paid under the medical benefit, and coordination of benefits; grandfathering therapy outside Rightway's continuation-of-therapy recommendations adds a grandfathering adjustment to the target (viewer, physical page 53). The same page conditions the guarantees and the target on Rightway's "preferred network of Mail Order Pharmacy and Specialty Pharmacies as exclusive fulfillment partners" and on "Client complete adoption of RIGHTWAY Comprehensive Value Formulary including exclusion and clinical edits", its standard clinical programs and its Pharmacy Navigation program, and lets Rightway change the fees, targets and guarantees when those assumptions do not hold (viewer, physical page 53).
Why it cannot be scored
This record is published as catalogue evidence only. No rubric scoring, clause finding or council review is asserted here, and the AWP discount and dispensing fee guarantee tables in Attachment B-2 sections A (physical pages 48-49) are image tables whose values did not extract reliably from the posted scan, so no discount percentages are published from them (viewer, physical pages 48-49).
