Vendor Drug Program pharmacy benefits modernization, Gainwell Technologies: signature document and amendments

What this document is

This is the Texas Health and Human Services Commission's contract HHS000534500001 with Gainwell Technologies LLC for "Vendor Drug Program (VDP) Pharmacy Benefits Modernization" (signature document, page 1), as posted to the Legislative Budget Board contracts database. Four short files are public: the four page signature document, Amendment No. 1 (four pages, signed March 25, 2024), Amendment No. 2 (two pages, signed August 25, 2025), and HHSC's three page attestation letter to the LBB dated June 28, 2022. The Vendor Drug Program is the Texas Medicaid pharmacy benefit. This is the state's contract with the company that runs Medicaid pharmacy claims, formulary, drug utilization review, rebates and the call center, not an employee health plan's pharmacy benefit manager contract.

What it does tell us

The signature document sets a budget that "will not exceed $131,454,558.53" and lists more than two dozen attachments incorporated by reference, among them Attachment B, Statement of Work; Attachment F, Fee Schedule; Attachment K, Deliverables; Attachment L, Key Performance Measures and Liquidated Damages; and Attachment V, Vendor Proposal (pages 1 and 3). HHSC may renew for up to three additional years, with the whole term capped at eight years except for transition (page 1). The contract was effective June 24, 2022 (Amendment No. 1, page 1).

Amendment No. 1 delayed the operations start date "from June 24, 2023, to March 30, 2024," a slip of "nine months and five days," and cut the total contract amount "by $4,248,238.72 from $131,454,558.53 to $127,206,319.81" (page 1). It reset the base term to end June 24, 2027, with three optional one year extensions running to June 24, 2030 (pages 1 and 2), added a drug utilization review requirement for provisional coverage of newly submitted drugs "to comply with HB3286" (page 2), and replaced the fee schedule with Attachment F-1 (page 3). Amendment No. 2 allowed minor changes to be made administratively and replaced Attachments B, K and L with B-1, K-1 and L-1 (page 1). The replacements are said to be attached but are not in the posted file.

The attestation letter describes the purpose as "a comprehensive Contractor VPM Solution" covering "federal drug rebates, State supplemental rebates and value-based agreements" for all covered outpatient drugs in fee for service and managed care (page 3). Its risk statement says a failed transition could affect "rebates (an approximate cost of $2 billion in lost revenue)" (page 3), which gives a sense of the money this system handles.

Why it cannot be scored

Our checklist was built for employer plan pharmacy benefit manager contracts, where the questions are who keeps rebates, whether the plan pays what the pharmacy is paid, and whether the plan can audit. A Medicaid claims administrator contract is a different kind of deal. Gainwell is paid fees to run a system rather than to price drugs, and the checklist's questions do not map cleanly onto it. More to the point, the substance is missing. The statement of work, deliverables, performance measures and liquidated damages, fee schedule and vendor proposal are all incorporated by reference and none is posted. What is public is a shell with a budget number, two amendments that change dates and dollars, and a certification letter.

A Texas resident can ask HHSC under the Texas Public Information Act for Attachments B-1, F-1, K-1 and L-1 to contract HHS000534500001, along with Attachment V, the vendor proposal, and Attachment A, negotiated modifications. With the statement of work and fee schedule in hand, we could at least describe how the state pays for Medicaid pharmacy administration and what performance it demands, even if the scoring rubric does not apply directly.
