Terms of Service

1. Acceptance of these Terms

These Terms of Service (the "Terms") form a legally binding agreement between you ("you" or "User") and BetterBuyRx Health, Inc., a Delaware corporation ("BetterBuyRx", "we", "us", or "our"), governing your access to and use of betterbuyrx.com and any subdomain, mobile experience, API, email, SMS, chat, or successor property operated by BetterBuyRx (collectively, the "Service").

You accept these Terms by any of the following: (a) clicking "I agree" or a similar control; (b) creating an account; (c) dismissing the entry overlay shown on first visit; or (d) continuing to access, browse, or use the Service after these Terms have been made available to you. If you do not agree, you must immediately leave the Service and not access it again.

If you accept these Terms on behalf of a business, organization, or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Definitions

• "Content" means any data, text, graphics, prices, drug information, articles, ratings, AI-generated responses, and other material made available through the Service.
• "Pricing Data" means prescription price estimates, coupon prices, cash prices, and related metadata sourced from Third-Party Pharmacies, Coupon Networks, and public datasets including the CMS National Average Drug Acquisition Cost (NADAC).
• "Third-Party Pharmacies" means any pharmacy, dispensary, mail-order operator, or retailer that we link to or surface pricing for (e.g., Walmart, Costco, Cost Plus Drugs, Amazon Pharmacy, HealthWarehouse, Publix, H-E-B).
• "Coupon Networks" means prescription discount card and coupon issuers (e.g., GoodRx, SingleCare, Optum Perks, RxSaver, Hippo, Honeybee Health, Blink Health).
• "AI Features" means any feature of the Service powered in whole or part by large language models or other machine-learning systems, including but not limited to the "Speak With Someone," "Chat Live," care-team chat, and search-assistant experiences.

3. Eligibility and Geographic Scope

You must be at least 18 years old and a resident of the United States to use the Service. The Service is intended solely for users located in the United States and is not directed to residents of the European Economic Area, the United Kingdom, or any other jurisdiction where its provision would be unlawful. By using the Service, you represent and warrant that you meet these requirements.

4. What BetterBuyRx Is — and Is Not

BetterBuyRx is an independent consumer information platform that aggregates publicly available prescription pricing data and presents it for comparison. BetterBuyRx is not:

• a pharmacy or dispensary;
• a pharmacy benefit manager ("PBM");
• a health insurer or health plan;
• a covered entity, business associate, or healthcare clearinghouse as those terms are defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA");
• a healthcare provider, clinician, prescriber, or telehealth service;
• a registered investment adviser, broker-dealer, or financial institution; or
• an agent of any Third-Party Pharmacy or Coupon Network.

We do not dispense medication, fill prescriptions, accept insurance, process claims, or maintain protected health information ("PHI") as defined under HIPAA. Your transaction, if any, occurs solely between you and the Third-Party Pharmacy or Coupon Network you choose.

5. No Medical Advice; No Professional Relationship

THE SERVICE DOES NOT PROVIDE MEDICAL, PHARMACEUTICAL, DIAGNOSTIC, CLINICAL, LEGAL, OR FINANCIAL ADVICE. All Content is for general informational and price-comparison purposes only. No physician-patient, pharmacist-patient, attorney-client, or fiduciary relationship is created by your use of the Service.

Always consult a licensed healthcare provider before starting, stopping, switching, or changing the dose of any prescription medication. Never disregard or delay professional medical advice because of something you read on the Service. If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately.

6. AI-Generated Content Disclosure

Certain features — including "Speak With Someone," "Chat Live," in-app messaging labeled as a "care team," and the search assistant — are powered by artificial intelligence. While these features may use human-quality conversational design (agent names, typing indicators, connection states), the responses are generated by software, not by licensed clinicians. AI Features may produce inaccurate, incomplete, or misleading information ("hallucinations"). You agree not to rely on output from AI Features for any medical, legal, or financial decision, and to independently verify any material information with a qualified professional.

7. Pricing Data

Pricing Data is aggregated from Third-Party Pharmacies, Coupon Networks, and government datasets. We refresh Pricing Data on a rolling basis (typically every 24 to 72 hours), but cannot guarantee that any displayed price will be available, in stock, or honored at the counter. Prices exclude applicable taxes, dispensing fees, delivery charges, and any markup imposed by the pharmacy at the point of sale. Pricing Data is presented in U.S. dollars. BetterBuyRx does not earn a commission from any Third-Party Pharmacy except where expressly disclosed.

Always confirm the final out-the-door price with the pharmacy before purchasing.

8. Third-Party Pharmacies and Coupon Networks

The Service contains links to and integrations with Third-Party Pharmacies and Coupon Networks. BetterBuyRx does not own, operate, control, endorse, or assume any responsibility for these third parties or their products, services, websites, privacy practices, terms, or any refusal to honor a price or coupon. Your dealings with any third party are solely between you and that third party. We are not a party to any transaction you enter into with a Third-Party Pharmacy or Coupon Network, and we have no liability for any loss, damage, or dispute arising from such transaction.

9. Accounts and Security

You may use most of the Service without an account. If you create one, you must provide accurate, current, and complete information and keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at security@betterbuyrx.com of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or fraud risk.

10. Acceptable Use

You agree not to, and not to permit any third party to:

• scrape, crawl, harvest, or otherwise extract Pricing Data or other Content from the Service by automated means, except by good-faith compliance with our robots.txt;
• reverse engineer, decompile, disassemble, or attempt to derive source code from any portion of the Service;
• resell, sublicense, syndicate, or commercially redistribute Content without a written agreement;
• interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or related systems;
• use the Service to facilitate prescription diversion, controlled-substance fraud, identity fraud, or any other unlawful activity;
• impersonate any person or misrepresent your affiliation; or
• introduce malware, scripts, or other harmful code.

11. User-Submitted Content and Feedback

You retain ownership of any feedback, suggestions, reviews, ratings, or other material you submit ("User Content"). You grant BetterBuyRx a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to host, store, reproduce, modify, create derivative works of, publicly display, and otherwise use User Content in connection with operating and improving the Service. You represent that you own or have all necessary rights to grant this license and that your User Content does not violate any law or third-party right.

12. Intellectual Property

The Service, including the BetterBuyRx name, logo, design, source code, compilation of Pricing Data, and all related intellectual property, is owned by BetterBuyRx or its licensors and is protected by U.S. and international copyright, trademark, trade dress, and other laws. No rights are granted other than the limited, revocable, non-exclusive license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

DMCA. Copyright infringement claims may be sent to our designated agent at dmca@betterbuyrx.com. Notices must comply with 17 U.S.C. § 512(c)(3). We will terminate, in appropriate circumstances, the accounts of repeat infringers.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy and HIPAA Notice, which are incorporated by reference into these Terms.

14. Electronic Communications and Consent

By providing an email address or mobile phone number, you consent to receive service-related communications from us electronically, including account, security, and transactional notices. Marketing messages are sent only with your separate consent and you may opt out at any time by replying STOP to an SMS or using the unsubscribe link in any email. Message and data rates may apply. Reply HELP for help. Our SMS program complies with the Telephone Consumer Protection Act ("TCPA") and applicable carrier requirements.

15. Disclaimers of Warranties

The Service and all Content, including Pricing Data and AI Features, are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, BetterBuyRx expressly disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, and any warranties arising from course of dealing or usage of trade. BetterBuyRx does not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any Pricing Data will be current, accurate, or honored.

16. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will BetterBuyRx, its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if BetterBuyRx has been advised of the possibility of such damages. BetterBuyRx' aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amounts you paid to BetterBuyRx in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

17. Indemnification

You agree to defend, indemnify, and hold harmless BetterBuyRx and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or contractual right; or (d) any User Content you submit.

18. Binding Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

(a) Informal resolution. Before filing any claim, you agree to first contact us at legal@betterbuyrx.com and to attempt in good faith to resolve the dispute informally for a period of at least sixty (60) days.

(b) Arbitration agreement. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, or remotely, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

(c) Class-action waiver; jury-trial waiver. You and BetterBuyRx each waive any right to a trial by jury and any right to bring or participate in a class, collective, consolidated, or representative action. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.

(d) 30-day opt-out. You may opt out of this arbitration agreement by sending written notice to legal@betterbuyrx.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, the email address associated with your account (if any), and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

(e) Small-claims carve-out. Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction.

(f) Mass-arbitration protocol. If 25 or more similar arbitration demands are filed by or with the coordination of the same counsel or coordinated group within a 30-day period, the parties agree to a batched proceeding under AAA's Mass Arbitration Supplementary Rules to promote efficiency and fairness.

19. Governing Law and Venue

These Terms and any dispute arising hereunder are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to Section 18, the exclusive venue for any action not subject to arbitration is the state and federal courts located in New Castle County, Delaware, and you irrevocably consent to personal jurisdiction there.

20. Changes to the Terms

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by updating the "Last updated" date, posting a notice on the Service, or re-presenting the entry overlay). Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, your sole remedy is to stop using the Service.

21. Termination and Survival

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason or no reason. Sections 4 through 19, and any other provision that by its nature should survive, will survive termination.

22. Force Majeure

BetterBuyRx will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, pandemic, labor disputes, internet or utility failures, or third-party service disruptions.

23. Miscellaneous

These Terms, together with the Privacy Policy and any other documents referenced herein, constitute the entire agreement between you and BetterBuyRx regarding the Service and supersede all prior or contemporaneous understandings. If any provision is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may freely assign them. Headings are for convenience only.

24. Notices and Contact

Legal notices to BetterBuyRx must be sent to legal@betterbuyrx.com with a copy by U.S. mail to: BetterBuyRx Health, Inc., Wilmington, DE. We may give notice to you by email to the address associated with your account or by posting on the Service.

25. State-Specific Consumer Notices

California residents. Under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 N. Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at (800) 952-5210. California residents have additional rights under the California Consumer Privacy Act ("CCPA"), as described in our Privacy Policy.

Washington residents. Health-related data collected from Washington residents is handled in accordance with the Washington My Health My Data Act. See our Privacy Policy for details on consumer-health-data practices and how to exercise your rights.

Other states. Residents of Colorado, Connecticut, Virginia, Utah, Texas, Oregon, and other states with comprehensive privacy statutes have additional rights described in our Privacy Policy.
